Bylaws

Article 1 - Name

The name of this organization shall be the Eastern Kentucky University Retirees Association

Article 2 - Purpose

The purpose of this organization shall be:

a. To encourage continuing contact and support between retirees and the University.

b. To foster the benefits, interest, and well-being of the retired faculty and staff of EKU through social, educational, and promotional activities.

Article 3 - Members

a. Regular members. Retired faculty and staff of Eastern Kentucky University shall be eligible for regular membership in the Association. Newly retired faculty and staff shall be granted regular membership during the first year of their retirement. All regular members in good standing shall have the right to vote.

b. Associate members. Associate membership in the Association shall be open to the spouses of regular members who are not eligible for regular membership and to the spouses of deceased retired faculty and staff. Associate members shall be nonvoting but may participate in debate and serve on committees.

c. Life members. Persons eligible for regular or associate membership in the Association may become life members by making a minimum contribution in the amount of $100 to the EKU Retirees Scholarship Fund and a one time dues payment equal to double the annual dues.

Article 4 - Dues

A regular member shall pay annual dues of $10.00

The spouse of a regular member shall not pay dues.

The spouse of a deceased retiree shall pay annual dues of $5.00

Newly retired faculty and staff shall not pay dues during their first year of their membership.

All dues are payable as of the Spring Meeting each year.

Regular members who have not paid their dues within 60 days after the Annual Meeting shall lose their right to vote on Association matters and may not participate in Association activities.

Article 5 - Officers

The officers shall include a President, a President-Elect, a Secretary, and a Treasurer.

The President-Elect shall be elected every year and shall become President the following year. The Secretary and Treasurer shall be elected for two year terms in alternate years, the Secretary being elected one year and the Treasurer the next.

The President shall preside at meetings and coordinate the activities of the Association. The President-Elect shall act in the absence of the President and assist in coordination. The Secretary shall keep notes of meetings, the membership roll, and the official records and shall also maintain correspondence. The Treasurer shall collect and distribute funds as appropriate, keep books of account and render accounting.

Article 6 - Executive Committee

The Executive Committee shall be composed of the four elected officers and the Past President. It shall conduct routine business between regular meetings, assist the President in appointing committees, and perform other functions as defined herein. In addition, the Executive Committee shall appoint a member to fill a vacated office until the next annual meeting.

Article 7 - Committees

a. Nominating Committee. A Nominating Committee of three members shall be appointed by the President. This Committee shall nominate candidates for each office to be filled at the annual spring meeting.

b. Social Committee. The Social Committee shall be responsible for arranging programs at all meetings and at such special occasions as the members may desire.

c. Scholarship Committee. The Scholarship Committee shall be responsible for soliciting contributions to an endowed merit scholarship program for EKU students.

d. Other committees. Ad Hoc committees may be appointed by the President and/or Executive Committee as needed.

e. The President shall be an ex-officio member of all committees except the nominating committee.

Article 8 - Annual Meeting

There shall be an annual meeting, the exact date to be determined by the Executive Committee, for the election of officers and for other Association business. Additional meetings shall be held as determined by the Executive Committee. In addition, a special meeting shall be called by the President upon petition by 10% of the membership as determined by the latest membership list.

A majority of those regular members voting at any meeting shall be required to transact business.

Article 9 - Rules

The rules contained in the current edition of Robert's Rules of Order shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with the bylaws and any special rules of order the Association may adopt.

Article 10 - Bylaws Amendments

These Bylaws may be amended by a 2/3 vote of those voting at any regular meeting of the Association at which a quorum is present, providing that the proposed amendments have been circulated in writing to the voting members at least 20 days prior to the meeting. For purposes of amendment, a quorum shall consist of 30% of the regular membership.
